1. General Provisions
1.1. These Rules of Procedure (hereinafter the "Rules") establish the nature, basis for membership, management, and operational arrangements of the Green Club (hereinafter the "Club") of the Tallinn University Student Union (hereinafter the "Student Union").
1.2. The Club is a subdivision of the Tallinn University Student Union; its objective is to unite individuals associated with the University who share an interest in sustainability and nature, and to share knowledge regarding green topics.
1.3. The Club is accountable to the Board and the Council of the Student Union.
1.4. The Club’s activities are based on an action plan coordinated with the Student Union office and the Council.
2. Membership
2.1. Any Tallinn University student, alumnus, or faculty member who has submitted a membership application may become a member of the club (hereinafter referred to as "Member").
2.2. A Member has the right to:
2.2.1. participate in closed events intended exclusively for club members;
2.2.2. run for a position on the club’s board;
2.2.3. vote in internal club elections;
2.2.4. submit proposals to the club’s board, including the head of the club;
2.2.5. suspend their membership or resign from membership by submitting a written application to that effect to the club’s board.
2.3. A Member is obliged to:
2.3.1. familiarize themselves with the club’s internal rules and statutes;
2.3.2. attend meetings that are mandatory for club members (the mandatory nature of which is determined by the club’s board);
2.3.3. participate in at least one club meeting or assist in organizing one event during the semester.
2.4. All university students, faculty members, alumni, and other interested parties from outside the university who are not club members have the right to participate in the club’s public events.
2.5. A Member shall be expelled if:
2.5.1. the Member violates the club’s internal rules, behaves in a manner that damages the club’s reputation, acts contrary to standards of good conduct, or in any other justified case.
2.5.2. A member voluntarily decides to terminate their obligations and submits a corresponding written statement to the club's board.
2.6. A member is expelled by a decision of the club's board.
3. Board
3.1. The club’s board (hereinafter the Board) is appointed by a decision of the Student Union Board following an internal club vote or through an open call for applications.
3.2. Board elections take place in May, and the new Board begins its work in June. The outgoing Board organizes the elections, and club members participate in the voting.
3.3. The Board ensures the smooth operation of the club and the achievement of its objectives.
3.4. Board meetings are held regularly to discuss and plan future events and activities. Board meetings are convened by the Club Head.
3.5. The Board consists of the Club Head, the Marketing and Communications Manager, the Project Manager, and up to three additional board members who contribute particularly actively to the club’s activities.
3.6. Club Head:
3.6.1. leads and develops the club and is responsible for the club’s operations;
3.6.2. approves the composition of the Board;
3.6.3. works closely with the Board;
3.6.4. plans the club’s activities, including drafting the club’s action plan and ensuring its implementation;
3.6.5. submits the club’s annual activity report to the Student Union Council;
3.6.6. plans and monitors the club’s budget;
3.6.7. organizes the preparation and archiving of club documents.
3.7. The club leader is removed or resigns if the Student Union Board or the Student Union Council votes in favor of the leader's removal or resignation.
3.8. The club leader is replaced by a person appointed by the Student Union Board.
3.9. Marketing and Communications Manager:
3.9.1. manages the flow of information regarding the club on the Student Union website and through other information channels;
3.9.2. works closely with members interested in contributing to the club’s marketing and communications.
3.10. Project Manager:
3.10.1. coordinates the organization of events;
3.10.2. works closely with members interested in contributing to the organization of events.
3.11. Up to three additional board members:
3.11.1. perform tasks assigned internally within the board, based on the number, skills, and interests of the additional board members;
3.11.2. may perform some of the Club Leader’s duties, subject to an agreement between the additional board member and the Club Leader.
3.12. Any club member who studies or works permanently at Tallinn University and is willing to actively participate in the club’s activities may run for a position on the board.
3.13. A board member has the right to:
3.13.1. make proposals to the Club Leader, including regarding the admission or expulsion of members and other board members.
3.13.2. initiate the process of recalling the Club Leader. Recalling the Club Leader requires a vote in favor by at least two-thirds of the board.
3.14. A board member has the obligation to:
3.14.1. perform the tasks assigned to them in the internal rules and actively participate in club events and meetings.
3.15. A board member shall be removed if:
3.15.1. a board member fails to fulfill their duties, including repeatedly missing meetings or failing to contribute sufficiently to the club’s activities without a valid reason;
3.15.2. a board member violates the club’s internal rules or behaves in a manner that damages the club’s reputation, acts contrary to standards of good conduct, or in other justified cases;
3.15.3. a board member voluntarily decides to terminate their duties by submitting a written statement to that effect.
3.16. A board member is removed or resigns if the Student Body Board or the Student Body Council votes in favor of the board member’s removal or resignation.
3.17. The work of the club board concludes upon a decision by the Student Body Board.
4. Organization of Work
4.1. The Club operates through board meetings and general meetings—held at least once a month (except in July; general meetings are also not held in June and August)—and through events scheduled by the board.
4.2. Club meetings are convened and chaired by the leader, with at least three (3) calendar days' advance notice.
5. Finances
5.1. The club’s budget is part of the student body’s budget.
5.2. The club’s budget is drawn up by the head in accordance with the procedure established by decisions of the council.
5.3. Funds from outside the student body budget, approved by the board, may be added to the club’s budget.
6. Entry into force of the Rules of Procedure
6.1. The Rules of Procedure are approved and amended by a regulation of the Student Body Council.
6.2. The Rules of Procedure enter into force under the conditions and in the manner prescribed in the Council’s rules of procedure.
